Terms and Conditions for Brainciti Services

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the corporate, legal, and advisory services provided by Brainciti. By engaging us for any service, you agree to be bound by these Terms.

2. Scope of Services

Brainciti provides advisory and facilitation services in the UAE, including:

  • Company formation and trade licensing in Mainland, Free Zones, and Offshore jurisdictions.
  • Visa and immigration processing.
  • PRO (Public Relations Officer) services and government liaison.
  • Corporate bank account opening assistance.
  • Tax registration and consultation.

Our role is to act as a consultant and facilitator to simplify the process. We do not act as the ultimate decision-makers for government approvals, bank account openings, or business outcomes.

3. Client Obligations

The Client is responsible for:

  • Accuracy of Information: Providing all necessary personal, corporate, and financial information and documents requested by Brainciti, ensuring they are true, accurate, complete, and legally valid.
  • Timely Response: Responding promptly to all requests for information or documentation from Brainciti, government entities, or banks. Delays caused by the Client's failure to provide information on time may result in additional fees or service interruption.
  • Compliance: Ensuring their business activities and conduct comply with all applicable laws and regulations of the UAE and the jurisdiction of their company.

4. Fees and Payment

  • Service Fees: Our professional fees cover the advisory and administrative work performed by Brainciti. These fees are detailed in your service quotation or agreement.
  • Third-Party Charges (Government Fees): Our fees do not include government fees, licensing charges, visa application fees, bank charges, or tenancy costs, which are typically paid by the Client directly or reimbursed to Brainciti upon presentation of invoices.
  • Payment Terms: Payment schedules and methods are outlined in the service agreement. Services will not commence until the initial agreed-upon payment is received.
  • Non-Refundable: Service fees paid to Brainciti are generally non-refundable once work has commenced. Government fees are subject to the refund policies of the respective government authority.

5. Limitation of Liability

Brainciti is a consulting firm, and we provide guidance and facilitation. We are not liable for circumstances outside of our direct control, including:

  • Government Decisions: Any delay, rejection, or adverse outcome of a trade license application, visa application, or government documentation process by any UAE government authority.
  • Banking Decisions: The ultimate decision by a UAE bank to open or deny a corporate or personal bank account.
  • Client Information: Any loss, damages, or legal issues arising from the Client providing incomplete, false, or misleading information or documents.
  • Indirect Loss: Any indirect, incidental, or consequential damages, including loss of profit or business interruption, arising from the use of our services.

Our total liability to you for any claim arising out of or relating to the services shall not exceed the total fees paid by you to Brainciti for the specific service in question.

6. Intellectual Property

All content, methodology, documentation templates, and materials provided by Brainciti, excluding official government documents, are the property of Brainciti and are protected by intellectual property laws. You may use this information only for the purpose of receiving our services.

7. Termination

We reserve the right to terminate the service agreement immediately if:

  • The Client fails to make payments as agreed.
  • The Client provides false, fraudulent, or materially misleading information.
  • The Client acts in a manner that harms the reputation of Brainciti or violates UAE law.

8. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable Federal Laws of the United Arab Emirates.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Courts of Dubai.
